Restaurants
- Obtain liquor licenses for restaurants, private parties, and charter yachts.
- Negotiate purchase and sales agreements for liquor licenses.
- Negotiate purchase and sales agreements and leases for restaurants.
- Manage all aspects of private equity financing (private placement) for restaurants.
- Representation in wage and hour investigations by Massachusetts Attorney General’s office.
- Represented restaurant owners in divorce actions where the value of the restaurant was an important asset of the marriage.
Function, Event, and Major Sports Venues
- Advice and counsel regarding all aspects of wage and hour law, with particular attention to tip and overtime laws.
- Training for food service and concession managers on federal and state wage and hour laws.
- Advice and counsel regarding the full range of employment law issues, including defense of discrimination and other employment claims.
- Advice and counsel on payroll deductions for cash register shortfalls.
- Representation of management in grievances and arbitrations under collective bargaining agreements.
- Revise and review contracts with patrons.
- Advice and counsel regarding tip reporting to the IRS.
Travel and Tourism Business
- Review, revise and update standard passenger terms and conditions.
- Negotiation and drafting of contracts with hotels and ground transportation companies.
- Litigation and prelitigation negotiation of contract and tort claims and disputes relating to hospitality and transportation vendors.
- Negotiation of contracts with domestic tour partners, such as the Smithsonian Institution, and tour partners in foreign countries.
- Counsel regarding contracts with tour venues, such as museums and universities.
- Representation regarding tour staff discipline and terminations.
- Advice and counsel regarding the full range of employment law issues, including defense of discrimination and other employment claims.
- Advice and counsel with respect to the implications of the Cuban Embargo law.
- Negotiations regarding corporate matters, including the sale of assets and trademark issues.
- Consultation and advice with respect to travel industry regulations and registration requirements, and telemarketing and direct mail advertising restrictions.
- Responding to a wide variety of customer complaints, claims and disputes, ranging from quality and service issues, to personal injury claims, to force majeure and terrorism questions.
- Advice and counsel regarding situations involving disruptive passengers.
- Representation relating to infectious disease matters.
- Managing claims and customer complaints regarding cruise ships and other vendor bankruptcies.
- Litigation and prelitigation negotiation of advertising-related claims.
- Consultation and advice regarding contests and giveaways.
Hotels and Timeshares
- Representation of prominent hotels regarding a variety of condominium management, structuring, and construction issues.
- Represent management in grievances and arbitrations under collective bargaining agreements.
- Create and terminate many timeshare communities.
- Represent timeshare communities in connection with amenities agreements, such as gold privileges.
- Represented the buyer of a 195-room Holiday Inn with a 120-seat restaurant.
- Represented the seller of historic inns in Rockport (MA) and on Nantucket (MA).
- Perform employment-related due diligence for various hotel transactions.
- Negotiate license and management agreements for hotels with the national chains.
